Both are global suppliers of building products and specialty construction chemicals. Saint-Gobain supplies building materials and construction chemicals in Australia; Xypex specialises nationally in concrete waterproofing and repair technologies.
OEConnection - Epyx
US-based OEConnection, a Francisco Partners portfolio company, proposes to acquire 100% of the share capital of UK-based Epyx, indirectly owned by Corpay. This acquisition combines OEConnection's automotive aftersales software with Epyx's fleet management software, streamlining vehicle service, maintenance, and repair transactions.
Endeavour Group – retail liquor site in Horsham, VIC
Endeavour Group proposes to acquire a leasehold interest for approximately 1,018 square metres of retail space in Horsham, Victoria, from real estate developer Colab (AUS) Pty Ltd. Endeavour intends to operate a Dan Murphy's retail liquor store, relocating an existing BWS licence.
Metal Manufactures - BayWa Solar Systems
Metal Manufactures Pty Limited t/as MM Electrical Merchandising proposes to acquire the business assets of BayWa r.e. Solar Systems Pty Ltd. This asset sale combines two wholesale solar product distributors. Metal Manufactures has a national footprint, complementing BayWa Solar Systems' Western Australian operations and stand-alone power system design.
Lockheed Martin – Ultra Maritime
Lockheed Martin Corporation, a global aerospace and defence company, proposes to acquire the entire issued share capital of naval defence technology business Ultra Maritime. This share acquisition expands Lockheed Martin's capabilities in maritime and undersea warfare solutions.
Incubeta - Datisan
Incubeta Australia Pty Limited (part of the international Incubeta Group, controlled by Carlyle Group Inc.) proposes to acquire Datisan Pty Ltd via a share sale. Both are digital marketing companies, reselling Google Marketing Platform and providing related technology services. Datisan is part of XPON Technologies Group Limited.
Adobe - Topaz Labs
Adobe Inc., a global technology company supplying creativity and productivity software, proposes to acquire 100% of the issued share capital of Topaz Labs Inc. Topaz Labs provides artificial intelligence-based photo and video enhancement software, complementing Adobe's existing image and video editing products.
Opal HealthCare - Canberra Nursing Home (Lidcombe, NSW)
Opal HealthCare (DPG Services Pty Ltd and OHCA Property Holdings Pty Limited) proposes to acquire the land, assets, and business of Canberra Nursing Home. This asset acquisition involves a 70-bed residential aged care home in Lidcombe, NSW. Opal HealthCare operates 149 aged care communities nationally.
Supagas – Heeson Medical
Supagas Pty Limited, a national producer and supplier of LPG and industrial gases, proposes to acquire substantially all assets of Heeson Medical. Heeson Medical supplies medical gases and related equipment for domestic, veterinary, medical and aged care use in South East Queensland and northern New South Wales.

Waymark Hotels Group – Howard Springs Tavern, Howard Springs, NT
Waymark Hotels Group, via Howard Springs Op Co Pty Ltd and Howard Springs Property Trust, is acquiring the land and business of Howard Springs Tavern. The Northern Territory commercial hotel offers dining, gaming, and liquor retailing. Waymark Hotels Group operates pubs and bottle shops across regional Queensland and the Northern Territory.
CVC Capital Partners – IRCA Group
Global alternative investment manager CVC Capital Partners, via Ibert Investments S.à.r.l., completed the share acquisition of 100% of IRCA Group Luxembourg MidCo 4 S.à.r.l. The IRCA Group is an Italian-headquartered food ingredients business, active in confectionery, gelato, and bakery products, with an Australian sales presence.
Pine Australia - Evolution Business Systems
Pine Australia Holdings Pty Ltd, part of Evergreen Services Group and Alpine Investors, has acquired 100% of the shares in Evolution Business Systems Pty Ltd. Both companies supply enterprise resource planning (ERP) systems consulting, implementation, and resale services to Australian businesses.
CVC Capital Partners – IFF’s Food Ingredients business
Global alternative investment manager CVC Capital Partners, via its Purchasers, acquired approximately 90% of the equity interests in International Flavors & Fragrances' Food Ingredients business. This share sale involves the food and beverage ingredient solutions sector, with International Flavors & Fragrances retaining a minority stake.
Ironbark - Paris Group
Ironbark Group's Invest Blue Finance Pty Ltd is acquiring 100% of the shares in Paris Financial Holdings Pty Ltd. Both financial services firms operate in financial advisory, wealth management, and accounting. Paris Group primarily provides accounting and tax advisory to small and medium enterprises and individuals.
Jungheinrich Australia - All Lift
Jungheinrich Australia Holdings Pty Ltd is acquiring 100% of the shares in All Lift Equipment Sales Pty Ltd and Kretchmer Holding Co Pty Ltd. This share acquisition combines Jungheinrich's national OEM and sales/rental operations of industrial equipment with All Lift's third-party rental and service business across Australia.
Nojima Corporation – Hitachi Global Life Solutions and Arçelik Hitachi Home Appliances
Nojima Corporation, a Japanese retailer, will acquire an 80.1% interest in GLS, Inc., a new company consolidating Hitachi Global Life Solutions' domestic home appliances business and its stake in Arçelik Hitachi Home Appliances B.V. This share acquisition involves the Hitachi-branded home appliances business, including distribution in Australia.
efex - OnPlatinum
Thinkex Holdings Pty Ltd (efex), majority owned by Australian private equity firm Advent Partners, proposes to acquire all shares in On Group Holdings Pty Ltd (OnPlatinum). Both companies provide managed IT services, including cloud and cybersecurity, to small to medium businesses across various Australian states, with OnPlatinum offering onsite support in Sydney and Gold Coast.
Atlas Holdings LLC and KPS Capital Partners, LP propose to acquire C&D Technologies Inc., a battery and energy storage solutions manufacturer. The transaction involves the parties acquiring shares in a new joint venture, which will then acquire C&D Technologies via a share purchase agreement, forming a US-based battery and energy storage platform.
Blackstone - DarkVision Technologies
Blackstone Inc. affiliate Dynamo Bidco, Inc. acquired 100% of DarkVision Technologies Inc.'s equity interests. DarkVision provides advanced ultrasound imaging technology for industrial assets, including oil and gas wells and pipelines. Its Australian activities include downhole imaging services for the oil and gas industry. This was a share sale.
Vitamin Well - EMPWR Nutrition Group
Cinven-backed Vitamin Well Group proposes to acquire 100% of the issued share capital of EMPWR Nutrition Group NV. This share acquisition sees the functional food and beverage firm acquire EMPWR, a global functional snack bar manufacturer. EMPWR is currently majority owned by Waterland Private Equity Investments B.V.
Bain Capital – Kakaku.com
Global private equity firm Bain Capital proposes to acquire Kakaku.com, Inc. via a share acquisition. Kakaku.com operates online price comparison and consumer information websites, plus various other businesses including travel services. Kakaku.com is active in Australia through its subsidiary Time Design International, which supplies dynamic packaging software.
EQT Fund Management – Corza Biosurgery
EQT Fund Management S.à r.l., via its investment fund EQT X, is acquiring 100% of the shares in Corza Medical’s biosurgery business unit. This unit manufactures and sells TachoSil, a fibrin sealant patch used in surgical procedures. The acquisition involves holding companies Seal US Holdings Inc. and Ruby BidCo GmbH.
Iris Capital – Revesby Pacific Hotel and Crown Hotel
Iris Capital Holdings Pty Ltd is acquiring the assets of Crown Hotel and Revesby Pacific Hotel, entertainment and gaming pubs in Revesby, NSW. The vendors are Redcape Hotel Group Pty Ltd and MAHF Custodian Pty Ltd. The deal includes 28 gaming machine entitlements and two poker machine permits for Crown Hotel, and 24 and one respectively for Revesby Pacific Hotel.
MA Financial (Redcape Fund) – Seven hospitality venues in NSW
MA Financial's Redcape Fund, via Redcape Hotel Group Pty Ltd and MAHF Custodian Pty Ltd, acquired seven hospitality venues in NSW from Iris Capital Holdings Pty Ltd. This asset sale includes community pubs, hotels, and an accommodation hotel, offering food, beverage, gaming, and other services.

L'Oréal S.A., via L'Oréal India Private Limited, is acquiring 65.22% of the share capital of Onesto Labs Private Limited (Innovist), a beauty and personal care product company. L'Oréal distributes major brands in Australia, while Innovist sells its hair, skin, and sun care products directly to Australian consumers.
Origin – Climatech Zero
Origin Energy Limited, via its subsidiary Origin Zero Investments Pty Ltd, is acquiring the remaining 80% interest in Climatech Zero Pty Ltd, moving from 20% to 100% ownership. Climatech Zero provides engineering and project delivery services to reduce energy consumption for large commercial and industrial businesses, complementing Origin Zero's energy sales and solutions.
Sanad Services and Tikehau Capital – Revima
Sanad Services Group (Mubadala Investment Company PJSC) and Ace Aéro Partenaires II S.L.P. (Tikehau Investment Management SAS) will acquire Revima Holding SAS. This share acquisition involves companies providing maintenance, repair and overhaul services for aircraft components in the global aerospace sector.
Vertex – Crinetics
Vertex Pharmaceuticals Incorporated acquired 100% of the shares in Crinetics Pharmaceuticals, Inc. Vertex is a US-based biotechnology company developing products for serious diseases. Crinetics, also US-based, is a pharmaceutical company focused on endocrine diseases, with one product on market. The share acquisition was approved.
Laundy – Woy Woy Hotel
Laundy Woy Freehold Pty Ltd and Laundy Woy Trading Pty Ltd acquired the business assets, including freehold land, of Woy Woy Hotel and its Thirsty Camel bottle shop from Amal Trustees Pty Limited and Harvest Pub Operations 2 Limited. This asset sale expands Laundy's hospitality and retail liquor portfolio in Woy Woy, New South Wales.
Analogic - Leidos SES business
A joint venture has been approved combining Analogic Corporation, controlled by Altaris Partners LLC affiliates, with Leidos’ Security Enterprise Solutions business. This merges their aviation security operations, including explosive detection systems for baggage. The merged entity will be jointly owned by Altaris and Leidos affiliates.
Black Rhino - Club Hotel Motel Roma
Black Rhino Group acquired the Club Hotel Motel Roma and two associated bottle shops in Roma, Queensland. The asset acquisition from Speedy Cocktails Pty Ltd and Barry John Waldron as trustee for the Barry Waldron Family Trust expands Black Rhino's hospitality and retail liquor operations in the region.
Coles – supermarket site in Upper Swan, WA
Coles Supermarkets Australia Pty Ltd has entered a proposed lease agreement with Saracen Properties Pty Ltd for a new Coles supermarket. This commercial property transaction will establish a supermarket within a new neighbourhood centre at Clementine Village in Upper Swan, Western Australia, expanding Coles' retail footprint.
Ambrose Construct Group – Major Loss Builders
Ambrose Construct Group, majority owned by CPE Capital funds, acquired 100% of shares in Major Loss Builders. This share acquisition combines two insurance repair and restoration service providers. Major Loss Builders specialises in large loss commercial and residential services across Western Australia, South Australia, and the Northern Territory.
Expedia - CarTrawler
Expedia Group, Inc. has received approval to acquire Ballast Group Holdings Ltd (trading as CarTrawler) via a share sale. This transaction combines Expedia's online travel agency operations with CarTrawler's global B2B and B2C car rental and ground transportation distribution solutions, strengthening their online travel sector presence.
Total Drain Group - Pipe Management Australia
Total Drain Group Pty Ltd, trading as TDG Environmental, has acquired 100% of the shares of Utility Management Group Pty Ltd, trading as Pipe Management Australia. This transaction combines providers of stormwater and wastewater collection, maintenance, and waste recycling services, particularly in New South Wales and Queensland.
Siemens Mobility - MerMec
Siemens Mobility Holding B.V., a subsidiary of Siemens Aktiengesellschaft, has acquired 100% of the share capital in MerMec S.p.A.
